Ennovo LLC's Talent Outsourcing Services Terms of Service

Welcome to Ennovo LLC Talent Outsourcing Services ("we," "our," "us"). By accessing or using our services, you agree to comply with and be bound by the following Terms of Service ("Terms"). Please read these Terms carefully. If you do not agree with any part of these Terms, you must not use our services.

1. Definitions

• Services: Refers to the talent outsourcing services provided by Ennovo LLC.
• Client: Refers to any individual or entity that uses our Services.
• Virtual Assistant: Refers to any individual contracted by Ennovo LLC to provide Services to the Client.
• Agreement: Refers to these Terms of Service.

2. Services Provided

Ennovo LLC offers a range of talent outsourcing services, including but not limited to virtual assistance, administrative support, customer service, and other professional services as agreed upon with the Client.

3. Client Responsibilities

• Accurate Information: The Client must provide accurate and complete information necessary for the provision of Services.
• Compliance: The Client agrees to comply with all applicable laws and regulations while using our Services.
• Payment: The Client agrees to pay all fees and charges for the Services as specified in the agreement or invoice.

4. Payment Terms

• Fees: Fees for Services will be agreed upon between Ennovo LLC and the Client.
• Payment Schedule: Payments are due according to the terms specified in the invoice or agreement.
• Late Payments: Late payments may incur additional charges or interest as specified in the agreement.

5. Confidentiality

• Confidential Information: Both parties agree to keep confidential any information disclosed during the course of the Services that is not publicly available.
• Non-Disclosure: Neither party will disclose any confidential information to third parties without prior written consent from the other party.

6. Intellectual Property

• Ownership: Any work product or deliverables created by Ennovo LLC in the course of providing Services shall remain the intellectual property of Ennovo LLC until full payment is received.
• License: Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose.

7. Termination

• By Client: The Client may terminate the agreement by providing written notice to Ennovo LLC.
• By Ennovo LLC: Ennovo LLC may terminate the agreement if the Client fails to comply with these Terms or for any other reason deemed necessary.
• Effect of Termination: Upon termination, any fees due for Services rendered up to the termination date must be paid by the Client.

8. Limitation of Liability

• No Warranty: Ennovo LLC provides Services on an "as-is" basis without any warranties, express or implied.
• Liability Cap: Ennovo LLC's total liability for any claims arising out of or related to the Services shall not exceed the amount paid by the Client for the Services in question.

9. Indemnification

The Client agrees to indemnify and hold Ennovo LLC harmless from any claims, damages, or expenses arising out of the Client's use of the Services or breach of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of NM, US, without regard to its conflict of laws principles.

11. Dispute Resolution

Any disputes arising out of or related to these Terms or the Services shall be resolved through negotiation, mediation, or binding arbitration as mutually agreed upon by the parties.

12. Amendments

Ennovo LLC reserves the right to amend these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. The Client's continued use of the Services constitutes acceptance of the amended Terms.
